PREAMBLE
We, the members of the New England Conservative Coalition (NECC), united under God and committed to traditional conservative principles, do hereby establish this organization to advance grassroots conservative values throughout the Commonwealth of Massachusetts and New England. Through one unified political action committee, we support local town committees, conservative candidates, and civic participation rooted in faith, family, and constitutional government. Organized by region and led by Chapter Representatives and an Executive Committee, we stand together as one united coalition to defend liberty, restore accountability, and uphold the God-given rights and enduring values that form the foundation of our nation.
ARTICLE I: MEMBERSHIP
Section 1. Membership Eligibility
Membership in the New England Christian/Conservative Coalition (NECC) is open to individuals who support the mission, values, and objectives of the Coalition. As a faith-based political organization, all members shall be practicing members of either the Orthodox Church or the Catholic Church. Membership is subject to approval by the Executive Committee.
Section 2. General Members
General Members are individuals accepted into the Coalition who are entitled to participate in events, volunteer activities, and other Coalition functions. General Members are expected to uphold the Coalition's Christian values, mission, and Code of Conduct. General Members hold no authurity in the (NECC) but may be appointed to leadership positions if they meet the qualifications established by these bylaws.
Section 3. Executive Committee
The governing body of the Coalition shall be the Executive Committee, consisting of four (4) officers:

The Executive Committee shall oversee the administration, finances, policies, and operations of the Coalition. A majority vote of the Executive Committee shall decide all matters before it. In the event of a tie vote, the Chair shall cast the deciding vote.
Section 4. State Chapters
The Coalition shall maintain five (5) official state chapters representing:

Each chapter shall be administered by a Chapter Chair, Chapter Secretary, and Chapter Treasurer. Massachusetts shall not operate as an independent chapter and shall instead be administered directly by the Executive Committee.
The Executive Committee, headquartered and registered in the Commonwealth of Massachusetts, shall serve as the governing body of the Coalition and the official Political Action Committee (PAC). State Chapters operate under the authority and direction of the Executive Committee and are organizational units of the Coalition only. State Chapters are not separate Political Action Committees, possess no authority over PAC operations, finances, expenditures, endorsements, or legal compliance, and may not act or speak on behalf of the PAC without the express authorization of the Executive Committee.
Section 5. Vacancies
Any vacancy within the Executive Committee or any State Chapter shall be filled by appointment of the Chair.
The Chair may appoint interim officers as necessary to ensure the continued operation of the Coalition. If a State Chapter becomes inactive or unable to function effectively, the Executive Committee may reorganize, suspend, or dissolve the chapter as it determines to be in the best interests of the Coalition.
ARTICLE II: DUTIES OF GENERAL MEMBERS
Section 1. General Duties
General Members are encouraged to support the mission of the New England Christian/Conservative Coalition by participating in meetings, events, volunteer activities, and other Coalition initiatives. General Members shall conduct themselves in a respectful and lawful manner and uphold the Christian values and principles of the Coalition.
Section 2. Political Activity
General Members may participate in lawful political and civic activities that support the mission of the Coalition. Unless specifically authorized by the Executive Committee, General Members shall not represent themselves as speaking or acting on behalf of the Coalition or its Political Action Committee (PAC).
Section 3. Christian Conduct
General Members are expected to act in good faith and conduct themselves in a manner consistent with the values of the Coalition. Any member whose conduct is determined by the Executive Committee or State Chapter leadership to be disruptive, dishonest, disrespectful, or contrary to the mission of the Coalition may be suspended or removed from Coalition meetings, events, volunteer activities, or membership. The decision of the Executive Committee shall be final.
ARTICLE III: EXECUTIVE COMMITTEE
Section 1. Executive Committee
The Executive Committee shall serve as the governing body of the New England Christian/Conservative Coalition and shall consist of the following officers:

All Executive Committee members must be practicing members in good standing of the Orthodox Church or the Catholic Church.
Section 2. Executive Committee Officer Duties
Chair
The Chair shall serve as the chief executive officer of the Coalition and the official Political Action Committee (PAC). The Chair shall oversee all operations, preside over meetings, make appointments, execute official documents, and have final authority over all Coalition and PAC matters.
Vice Chair
The Vice Chair shall assist the Chair in carrying out the duties of the office and shall perform the duties of the Chair in the Chair's absence or at the Chair's direction.
Secretary
The Secretary shall maintain the official records of the Coalition, prepare meeting minutes, maintain membership records, preserve organizational documents, and perform any filing or administrative duties assigned by the Chair.
Treasurer
The Treasurer shall oversee the financial records of the Coalition and the PAC, maintain accurate accounts of all receipts and expenditures, prepare financial reports, assist with campaign finance compliance, and safeguard Coalition funds under the direction of the Chair.
Section 3. Appointments
All Executive Committee members and State Chapter officers shall be appointed by the Chair and shall serve at the pleasure of the Chair.
Section 4. Removal
The Chair may remove any Executive Committee member or State Chapter officer, with or without cause, whenever the Chair determines such action to be in the best interests of the Coalition. The Chair's decision shall be final.
Section 5. Vacancies
Any vacancy on the Executive Committee or within a State Chapter shall be filled by appointment of the Chair.
Section 6. Chair's Authority
The Chair shall serve as the chief executive officer of the Coalition and shall have final authority over all organizational matters. The Chair shall preside over Executive Committee meetings, may cast the deciding vote in the event of a tie, and shall have the authority to interpret these bylaws, make appointments, and take any action necessary for the effective operation of the Coalition. Unless otherwise required by law, the Chair's decisions shall be final.
ARTICLE IV: STATE CHAPTERS
Section 1. Organization
The Coalition shall maintain five (5) State Chapters representing Connecticut, Maine, New Hampshire, Rhode Island, and Vermont. State Chapters shall support the mission of the Coalition by organizing local meetings, volunteer activities, community outreach, and grassroots engagement.
Section 2. Chapter Officers
Each State Chapter shall consist of the following officers:

All Chapter Officers must be members in good standing of the Coalition and meet the membership requirements established by these bylaws.
Section 3. Massachusetts Administration
Massachusetts shall not maintain an independent State Chapter. All Coalition activities within the Commonwealth of Massachusetts shall be administered directly by the Executive Committee, which serves as the official governing body of the Coalition and its Political Action Committee (PAC).
Section 4. Duties of Chapter Officers
Chapter Officers shall oversee the day-to-day activities of their respective State Chapter, organize meetings and events, recruit and retain members, and promote the mission of the Coalition within their state. Chapter Officers shall operate under the authority and direction of the Executive Committee and shall have no authority over the administration, finances, endorsements, expenditures, or legal compliance of the Coalition's Political Action Committee
Section 5. Removal
The Chair may appoint or remove any Chapter Officer, with or without cause, whenever the Chair determines such action to be in the best interests of the Coalition. Any vacancy shall be filled by appointment of the Chair.
ARTICLE V: MEETINGS
Section 1. Executive Committee Meetings
The Executive Committee shall meet as necessary to conduct the business of the Coalition. Meetings may be called by the Chair or at the request of a majority of the Executive Committee. Meetings may be held in person or by electronic means.
Section 2. State Chapter Meetings
Each State Chapter shall meet as necessary to conduct its local activities and support the mission of the Coalition. Meetings shall be called by the Chapter Chair and may be held in person or by electronic means.
Section 3. Voting and Quorum
A majority of the members of the Executive Committee shall constitute a quorum for the transaction of business. Except as otherwise provided in these bylaws, all actions of the Executive Committee shall be decided by a majority vote of those present.
In the event of a tie vote, the Chair shall cast the deciding vote. If the Chair is absent, the Vice Chair shall preside over the meeting and exercise the duties of the Chair for that meeting.
ARTICLE VI: CODE OF CONDUCT
Section 1. Christian Conduct
All members and officers of the Coalition shall conduct themselves in a manner consistent with Christian values, treating others with honesty, integrity, dignity, and respect. Members are expected to support the mission of the Coalition and refrain from conduct that brings discredit upon the organization.
Section 2. Public Representation
Only the Chair or individuals expressly authorized by the Executive Committee may make official statements or represent the Coalition or its Political Action Committee (PAC). Members shall not speak or act on behalf of the Coalition without prior authorization.
Section 3. Confidentiality
Members and officers shall respect the confidentiality of Coalition business, including internal discussions, records, financial information, and other non-public matters. Confidential information shall not be disclosed without authorization from the Executive Committee.
Section 4. Discipline
Any member or officer who violates these bylaws, engages in conduct contrary to the mission of the Coalition, disrupts Coalition activities, or acts in a manner deemed detrimental to the organization may be suspended, removed from office, prohibited from participating in Coalition activities, or have their membership revoked. The Chair shall have final authority in all disciplinary matters.
Section 5. Conflict of Interest
Members and officers shall avoid any personal, financial, or political conflict of interest that could interfere with their duties or the interests of the Coalition. Any actual or potential conflict shall be disclosed to the Executive Committee. The Chair shall determine whether a conflict exists and what action, if any, is necessary.
ARTICLE VII: FINANCES
Section 1. Political Action Committee
The Executive Committee shall serve as the governing body of the Coalition's Political Action Committee (PAC), which is organized and registered in the Commonwealth of Massachusetts. The PAC shall operate in accordance with all applicable federal, state, and local laws and regulations.
Section 2. Bank Accounts
All Coalition funds shall be held in financial accounts approved by the Chair. The Chair shall have ultimate authority over all Coalition bank accounts and financial assets.
The Treasurer shall not be an authorized signer on any Coalition bank account unless authorized by the Chair. The Treasurer shall have access to financial records and online reporting systems, including the Massachusetts Office of Campaign and Political Finance (OCPF), for the purpose of maintaining records and assisting with compliance.
Section 3. Financial Reports
The Treasurer shall maintain accurate financial records and prepare reports for the Executive Committee as requested by the Chair. All financial records shall be available for review by the Chair at any time.
Section 4. Expenditures
All expenditures, contracts, and financial obligations of the Coalition must be approved by the Chair or by a person expressly authorized by the Chair. No member, Chapter Officer, or Executive Committee member, other than the Chair or an authorized designee, may obligate or commit Coalition funds.
ARTICLE VIII: AMENDMENTS
These bylaws may be amended by a majority vote of the Executive Committee, subject to the approval of the Chair. No amendment shall become effective without the Chair's approval.
ARTICLE IX: DISSOLUTION
Upon dissolution of the New England Christian/Conservative Coalition and its Political Action Committee, any remaining assets shall be distributed in accordance with applicable law after all debts and legal obligations have been satisfied. The Chair shall oversee the orderly dissolution of the Coalition and ensure compliance with all required legal and financial reporting.
